Terms of Service
The agreement that governs your use of helping.io.
Last updated
These Terms of Service (“Terms”) govern access to and use of helping.io and related services, including our website, API, and VS Code extension (collectively, the “Service”). These Terms are an agreement between you and IMNS LLC, a Wyoming limited liability company (doing business as “Helping.io”) (“Helping.io,” “we,” “us,” “our”). By creating an account, accessing, or using the Service, you agree to these Terms.
If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and “you” refers to that organization.
1. The Service
The Service provides an API that sends your requests to third-party AI model providers and returns their responses, and that stores your conversations so a request can continue an earlier one. It also includes a web app for managing your account, API keys, plan, and credits, and related developer tooling.
2. Eligibility
You must be at least 18 years old to use the Service.
3. Account Types and Responsibilities
3.1 Personal Accounts
A Personal account is for use by an individual for their own work. You are responsible for all activity under your Personal account.
3.2 Organization Accounts
An Organization (“Org”) account is a workspace for multiple users. Each Org has an Owner role. The Owner is the first user who created the Org and (if applicable) subscribed to a paid plan.
Unless we agree otherwise in writing, the Owner is responsible for:
- Managing access to the Org (inviting/removing members and assigning roles)
- Ensuring all users in the Org comply with these Terms and the Acceptable Use Policy
- Payment obligations for the Org subscription and usage (if applicable)
We may treat requests made from the Owner account (or an admin role you configure) as authorized requests on behalf of the Org.
3.3 Account Security
You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us promptly if you suspect unauthorized access.
4. Plans, Billing, and Payments
The plan and credit purchases are billed through Stripe. By starting a plan or buying credits, you authorize us (and Stripe) to charge your payment method according to your plan and your purchases.
A plan starts with a 14-day free trial, available once per organization. A payment card is required to start the trial, and it is charged when the trial ends unless you cancel before then.
Usage is paid from prepaid credits. Credits never expire and can be spent only while a plan is active. If your plan ends, your unused credits stay on your account and can be used again whenever a plan is active.
Pricing, billing intervals, renewals, and plan features are shown at checkout and may change over time. Prices do not include tax, and we do not collect tax at checkout today.
Cancellations
You may cancel your plan at any time in Stripe’s customer portal, where you also change your plan or update your card. A canceled plan stays active until the end of the current billing period.
If a renewal payment fails, Stripe retries it. If the retries run out, the plan is canceled. If a credit purchase is disputed with the card issuer, the credits remaining from that purchase are taken back.
Refunds
We do not offer refunds for the plan fee or for credit purchases, with two exceptions that we handle on request. First, if you are charged at the end of the free trial, we refund that first charge if you ask within 14 days of the charge and have not used the Service since the charge. Second, we refund where the law requires it. To ask for a refund, contact support@helping.io. See our Billing and Refund Policy.
5. Acceptable Use
Your use of the Service must comply with our Acceptable Use Policy (“AUP”), which is incorporated into these Terms by reference. If there is a conflict between these Terms and the AUP, the AUP controls for usage restrictions.
6. User Content and Permissions
“User Content” means content you submit to the Service, including prompts, messages, code snippets, tool inputs, and outputs you choose to store.
You retain ownership of your User Content. You grant us a non-exclusive, worldwide license to host, process, transmit, and display your User Content solely to provide, maintain, secure, and improve the Service.
7. AI Features and Output Disclaimer
The Service may use third-party AI providers to generate suggestions, summaries, code, or other output (“AI Output”). AI Output may be inaccurate, incomplete, or inappropriate for your use case.
You are responsible for reviewing, testing, and validating AI Output before using it, including for correctness, safety, compliance with licenses, and compliance with laws and policies.
8. Third-Party Services
The Service may integrate with or rely on third-party services (for example, AI model providers, billing, and email). Your use of third-party services may be subject to their terms and policies.
9. Intellectual Property
We own the Service, including all software, designs, and trademarks, excluding User Content. You may not copy, modify, distribute, sell, or lease any part of the Service except as permitted by these Terms.
10. Feedback
If you provide feedback, ideas, or suggestions, you grant us the right to use them without restriction or compensation.
11. Suspension and Termination
We may suspend or terminate your access if we reasonably believe you violated these Terms or the AUP, your use poses a security risk, or we must do so to comply with law.
You may stop using the Service at any time.
12. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IMNS LLC AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE PAST 12 MONTHS OR $100, WHICHEVER IS GREATER.
14. Indemnification
You agree to indemnify and hold harmless IMNS LLC from claims arising out of your User Content or your misuse of the Service, including violations of these Terms or the AUP.
15. Changes to These Terms
We may update these Terms from time to time. We will post the updated Terms and revise the “Last updated” date. Material changes may be communicated via the Service or email.
16. Governing Law and Venue
These Terms are governed by the laws of the State of Wyoming, excluding conflict of laws rules. Any dispute arising out of or relating to these Terms or the Service will be brought in the state or federal courts located in Illinois, and each party consents to jurisdiction and venue there.
